Challenge
A corporate bond fund was looking to recapitalize one of the 25 largest companies in the accounts receivable management (ARM) industry by buying out an existing lender with new convertible debt.

This investor brought considerable financial resources to bear on this transaction, but lacked strategic knowledge about the markets and industry in which its target competed. What were the unique opportunities and risks of investing in this company? How well respected was the company’s management team?  How should market structure and competitive forces impact the investment decision?

Solution
Kaulkin Ginsberg was hired to provide a tailored strategic analysis of the ARM industry to this investor, focusing on the markets within which its target company competes. This due diligence focused in large part on the target’s recent performance issues serving its largest client. We drew upon our existing knowledge of the industry, so our answers to our client’s questions were provided within the investor’s timeframe, which was only two weeks.

Rather than provide copious written materials at the conclusion of this engagement, we provided our findings by conference call, on our client’s request. We were able to quickly deliver a comprehensive assessment of the market and opinions about the company’s outlook. These results are currently being used by our client to support its pending investment decision.
